VGM GROUP, a simplified joint-stock company (SAS) registered in France under SIREN number 982 066 474, with registered office at 9 RUE DES COLONNES 75002 PARIS ("we", "our", or "us"), operating under the Direct Booking brand, provides website creation, hosting, and domain management services.

Our services specifically include:

• Collecting information from existing websites
• Creating new websites based on the content of existing sites
• Sending emails to owners to inform them of the new site created
• Hosting these websites
• Providing editing tools for site maintenance and updates
• Domain name registration and renewal

By using our services, you agree to be bound by these Terms of Service.

2. Pricing Structure and Subscriptions

Our services are billed according to the following structure:

• A one-time initial fee for website creation and acquisition
• A monthly subscription for hosting and editing services
• Annual fees for domain name registration and renewal

Specific prices are indicated at the time of purchase. Payments are due immediately for one-time fees and domain fees, and monthly for the subscription. Any price changes will be notified at least 30 days in advance by email.

3. User Responsibilities and Acceptable Use

By using our services, you agree to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of your account credentials
• Be responsible for all activities that occur under your account
• Use the services in compliance with all applicable laws, including the General Data Protection Regulation (GDPR)
• Not use the services for illegal, fraudulent, or harmful activities
• Not attempt unauthorized access to our systems or networks
• Not use our services to infringe on the intellectual property rights of others
• Respect copyright, privacy, and any other applicable regulations

You use our services at your own risk and agree to comply with all applicable laws and regulations. We reserve the right to suspend or terminate your access to our services if you violate these terms.

4. Domain Name Ownership and Management

4.1 Domain Name Ownership

The domain name registered through our services remains the exclusive property of VGM GROUP (the provider), even if it is exclusively used by the client. This provision applies to all domain names registered or renewed by us, regardless of the duration of use by the client.

4.2 Usage Rights

The client enjoys exclusive usage rights to the domain name for the duration of their service contract, subject to compliance with these terms of service. This usage right does not imply any transfer of ownership.

4.3 Suspension and Revocation

VGM GROUP reserves the right to suspend or revoke access to the domain name in the event of:

• Litigious behavior or breach of these terms of service
• Non-compliance with applicable laws and regulations
• Use of the domain for illegal or harmful purposes
• Non-payment of agreed services
• Infringement of third-party rights

4.4 Transfer of Ownership

Transfer of domain name ownership is never automatic. It may only be carried out upon the express written request of the client, accompanied by:

• A specific agreement signed by both parties
• Payment of any administrative and transfer fees
• Full settlement of all outstanding amounts

VGM GROUP reserves the right to accept or refuse any transfer request at its sole discretion.

5. Content Ownership and Intellectual Property Rights

• The original content of your website remains your property
• The design, layout, and improvements made by our services become your property once you have paid the applicable fees
• Websites created based on existing sites are designed to avoid any copyright infringement
• We retain all rights to our platform, tools, and technology
• You grant us a limited license to use your content to provide our services
• You are responsible for obtaining all necessary rights for the content you provide to us

If you cancel your subscription, you retain ownership of the content you created but lose access to our editing and hosting tools.

6. Limitations of Liability and Disclaimers

6.1 Complete Disclaimer of Liability

VGM GROUP is expressly released from all liability regarding:

• Content published by the client on the website, including but not limited to text, images, videos, comments, and any other content elements
• Any illegal or unlawful activity carried out by the client through the website or domain name
• Copyright infringement, privacy violations, or any other regulatory breaches resulting from the client's use of the service
• Outages, interruptions, blocks, or deletions of the domain name, whether due to technical, administrative, or legal causes
• Legal or financial consequences of any nature related to the client's use of the website or domain name
• GDPR violations or any other data protection regulation breaches resulting from the client's use of the service

6.2 Financial Liability Limitation

Under no circumstances shall VGM GROUP be held liable for an amount exceeding the sums actually paid by the client during the 12 months preceding the occurrence of the damage.

6.3 Warranties and Services

• Our services are provided "as is" without warranty of any kind, express or implied
• We do not guarantee that our services will be uninterrupted, error-free, or that they will meet your specific requirements
• We are not liable for indirect, special, or consequential damages
• We are not responsible for problems caused by factors beyond our reasonable control

7. Termination and Refund Policy

• You may cancel your subscription at any time through your account or by contacting us
• Cancellations take effect at the end of the current billing period
• After cancellation, your website will no longer be accessible and data may be deleted
• One-time website creation fees are non-refundable
• Monthly subscription fees are non-refundable for the current month
• Annual domain fees are non-refundable once the domain is registered

We reserve the right to terminate or suspend your access to our services immediately, without notice or refund, if you violate these Terms of Service.

8. Governing Law and Dispute Resolution

• These terms are governed by and construed in accordance with the laws of France
• Any dispute arising from or related to these terms shall be submitted to the exclusive jurisdiction of the courts of Paris, France
• Before initiating legal action, the parties shall attempt to resolve the dispute through mediation
• If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect

9. Modifications to These Terms

We reserve the right to modify these terms at any time. Changes will take effect upon publication on our website. We will notify you of significant changes by email or by a notification on our website. Your continued use of our services after the publication of changes constitutes your acceptance of those changes.
